These Terms of Service govern your use of Layoutrix's website and services. By accessing or using our platform, you agree to comply with these terms.

1. Acceptance of Terms

By accessing or using any portion of the Layoutrix website (“Site”) or services (“Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy. If you do not agree with these terms, you must not use the Site or our Services.

2. Eligibility

You represent and warrant that you are at least the age of majority in your jurisdiction or have the consent of a legal guardian who has agreed to these Terms on your behalf. You agree to provide accurate and complete information when creating an account or submitting requests.

3. User Accounts

Some parts of our Services may require you to create a user account. You are responsible for maintaining the confidentiality of your login credentials. Layoutrix is not liable for any losses or damages arising from unauthorized use of your account. You agree to notify us immediately of any breach of security or unauthorized use of your account.

4. Payment & Refund Policy

We offer free mockups, flat-rate Figma design services, and custom quoted Next.js development. Fees, payment schedules, and refund options are outlined at checkout or in service-specific agreements. Unless otherwise stated, all payments are non-refundable. Any refund or partial refund shall be at our sole discretion. We reserve the right to modify our pricing or payment terms at any time.

5. Intellectual Property

All content, software, imagery, and materials provided by Layoutrix (the “Layoutrix Materials”) are the exclusive property of Layoutrix or our licensors, unless explicitly stated otherwise. You may not reproduce, distribute, modify, or create derivative works of Layoutrix Materials without our prior written consent. Any content you provide (e.g., logos, brand assets) must be owned by you or used with permission. By providing such content, you grant Layoutrix a non-exclusive, royalty-free license to use it for the purpose of delivering the requested Services.

6. Confidential Information

During your use of our Services, you may share confidential or proprietary information with us. We will use commercially reasonable efforts to maintain the confidentiality of such information and will only use it for the purpose of delivering the Services. However, you acknowledge that certain information may be processed by third-party AI tools as part of the design or generation process, and we do not accept liability for disclosures that occur through those channels unless caused solely by our gross negligence.

7. Prohibited Conduct

You agree not to misuse our Site or Services. You will not:

  • Upload or share any content that is unlawful, harmful, or infringes on the rights of others.
  • Use the Services for any fraudulent or malicious purposes, including impersonating any person or entity.
  • Interfere with or disrupt our Site, servers, or networks connected to our Services.
  • Attempt to reverse-engineer, decompile, or otherwise extract the source code of our software or AI models without our prior written consent.

8. Disclaimers of Warranties

Layoutrix provides the Site and Services “as is” and “as available.” To the fullest extent permitted by law, Layoutrix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of informational content. We do not guarantee that our Services will meet your expectations, be error-free, or produce specific business or design outcomes.

9. Limitation of Liability

In no event shall Layoutrix, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, or other intangible losses resulting from your use of or inability to use the Services. Layoutrix’s aggregate liability under these Terms shall not exceed the amounts actually paid by you to Layoutrix in the one hundred eighty (180) days preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Layoutrix and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your breach of these Terms, your use of the Services, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your access to the Site or Services at any time, with or without cause or notice. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease. Sections relating to limitations of liability, disclaimers, and indemnification shall survive any termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Pennsylvania, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the use of the Services shall be resolved exclusively in the state or federal courts located in Pittsburgh, Pennsylvania, and you consent to personal jurisdiction in those courts.

13. Modifications to the Terms

We may revise or update these Terms from time to time. Any changes will be effective immediately upon posting. Your continued use of the Site and Services after such posting constitutes your acceptance of the revised Terms.

AI Website Mockups Terms

These AI Website Mockups Terms (“AI Mockups Terms”) govern your use of Layoutrix’s AI-driven website mockup generation service. They supplement the provisions in our Global Terms of Service. In the event of a conflict between the AI Mockups Terms and the Global Terms, the AI Mockups Terms shall apply, but solely with respect to the AI Website Mockups service.

1. Nature of AI-Generated Mockups

Layoutrix uses generative AI models to produce website mockups in the form of static images (e.g., PNG). These mockups are intended to provide a conceptual preview of potential designs and layouts. You acknowledge that AI outputs are probabilistic, may include inadvertent errors, and may not fully align with your branding or industry best practices.

2. Free Mockup Offer

Layoutrix may offer free mockups, which typically include up to five (5) concepts or revisions. The scope of this free offer is limited to generating static design previews and does not include advanced customization or detailed design work. Any additional or custom requests may require an upgrade to a paid Figma Designers package or other professional services.

3. No Guarantees or Warranties

Layoutrix provides AI mockups “as is,” without warranty of any kind, whether express or implied. We do not guarantee that AI-generated mockups will be free of errors, visually appealing to your target audience, or suitable for your specific business goals. The mockups are not final production-ready deliverables, nor do we warrant any specific level of performance, sales, or user engagement from using these designs.

4. Limited License & Intellectual Property

AI Output. All AI-generated mockups provided under this service remain the property of Layoutrix until they are delivered to you. Once delivered, you receive a non-exclusive, non-transferable license to use the mockups for non-commercial evaluation or internal review. If you wish to commercialize or adapt the designs, you may need to engage our Figma Designers or obtain written permission.
Third-Party Content. AI-generated mockups may inadvertently include elements resembling third-party trademarks or images. Layoutrix is not liable for any intellectual property infringement arising from such elements. You agree to conduct your own due diligence if you plan to use any AI-generated designs in a commercial or public context.

5. Client-Provided Assets & Data

You may provide brand assets, text, or other materials to guide the AI generation process. You represent and warrant that you have all necessary rights to use and share these materials. Layoutrix is not responsible for verifying the legality or accuracy of client-provided assets. While we take commercially reasonable precautions, we do not guarantee complete confidentiality if these assets are processed through third-party AI tools or infrastructure.

6. Revisions & Feedback

Our free AI mockup service may include a limited number of revisions or new concepts, typically up to five (5), unless stated otherwise. Revisions are meant for minor tweaks or re-generations. If you require extensive edits or further refinements, we may recommend upgrading to a paid design service. Layoutrix reserves the right to decline revision requests that substantially alter the initial scope of your free mockup.

7. Delivery Time & Delays

Layoutrix aims to deliver AI-generated mockups within the 2–3 business day window mentioned on our Site. However, actual delivery times may vary based on factors like complexity of your request, volume of concurrent orders, and the responsiveness of our AI tools. Layoutrix is not liable for any losses or damages arising from delivery delays.

8. Refund Policy

The AI mockup service is offered free of charge or at a nominal fee where indicated. Therefore, refunds are generally not applicable. If you have upgraded or purchased add-ons related to mockups, any refund shall be at our sole discretion. Please refer to our Global Terms for general guidance on refunds and limitations.

9. No Liability for Business Outcomes

Layoutrix is not liable for any direct or indirect damages, including lost revenues or profits, arising from your use or inability to use the AI-generated mockups. You are solely responsible for evaluating the suitability of the designs for your business objectives and for implementing any necessary modifications or professional design services.

10. Termination

Layoutrix may discontinue or modify the AI mockup service at any time without notice. We reserve the right to suspend or terminate your access to the AI mockup service if we believe you are violating these AI Mockups Terms, the Global Terms, or any applicable law. Upon termination, any rights granted to you in relation to the AI mockups shall immediately cease, unless otherwise agreed in writing.

11. Incorporation of Global Terms

These AI Mockups Terms are supplemented by and incorporate the Global Terms of Service, including but not limited to disclaimers, limitations of liability, indemnification, and governing law. By using the AI Website Mockups service, you agree to all applicable provisions in both these AI Mockups Terms and the Global Terms.

Figma Designers Terms

These Figma Designers Terms (“Figma Terms”) apply specifically to any design services provided by Layoutrix under the “Figma Designers” or similarly named offerings. They supplement and incorporate the general provisions outlined in our Global Terms of Service. In the event of a conflict between the Figma Terms and the Global Terms, the Figma Terms shall control, but solely for the Figma Designers service.

1. Scope of Service

Layoutrix will deliver design services in Figma (the “Design Output”) based on your specifications and requirements. The scope of each project may include page layout, user interface components, and other agreed design elements as described in your purchase agreement, invoice, or other statement of work. Any additional requests or revisions beyond the agreed scope may incur extra fees.

2. Client Responsibilities

You agree to provide complete, accurate, and timely information needed for the design process. This may include branding guidelines, logos, text copy, color palettes, or design inspirations. Delays in furnishing required information or feedback may lead to extended timelines, for which Layoutrix is not liable.

3. Revision Policy

Unless otherwise stated in your service agreement or invoice, Layoutrix will provide a limited number of revisions or edits to the Design Output. Revisions are intended to make minor adjustments or corrections. Substantial changes in project scope, layout, or functionality may be treated as new requests and may incur additional fees. Layoutrix will inform you if a requested revision exceeds the original scope of work.

4. Ownership & Licensing

Layoutrix Materials. Any proprietary tools, templates, or AI features used to create the Design Output remain the property of Layoutrix or its licensors.
Client Materials. You must ensure you have the right to use any content or assets (including text, images, trademarks) you provide. By submitting these materials, you grant Layoutrix a royalty-free license to use and modify such materials for the design project.
Final Deliverables. Subject to payment in full, you receive a non-exclusive, non-transferable license to use the final Figma design files for your own commercial or personal use. If the design incorporates open-source or third-party licensed elements, the applicable licenses for those elements will also apply.

5. Timeline & Delivery

Layoutrix aims to deliver the Design Output within the estimated timeframes stated on our Site or in our written agreement. These timeframes assume prompt client cooperation and do not account for unforeseen delays. Layoutrix is not responsible for losses due to delays caused by client inactivity, revision requests, or other external factors beyond our control.

6. Acceptance & Sign-Off

Upon completion of the design phase or a specific milestone, Layoutrix may request your approval or sign-off. You are responsible for reviewing all deliverables and providing prompt feedback or confirmation of acceptance. If no feedback is received within a reasonable time (e.g. 7 days), the deliverables shall be deemed accepted.

7. Payment & Refunds

Fees for the Figma Designers service are typically charged per page or per project. Unless specified otherwise, invoices must be paid in full before project commencement or as stated in your invoice. All payments are final and non-refundable except as explicitly outlined under the Global Terms or at Layoutrix’s sole discretion. If a deposit is required, it is also non-refundable unless mutually agreed.

8. No Guarantee of Business Outcomes

Layoutrix does not guarantee any specific results from the Figma design work, such as increased sales, user engagement, or SEO improvements. The design output is provided as a creative solution, and its performance depends on additional factors including your marketing strategy, product quality, user testing, and website development.

9. Limitation of Liability

Layoutrix is not liable for direct, indirect, incidental, or consequential damages arising from the use or inability to use the Design Output. In no event shall Layoutrix’s aggregate liability exceed the total amount paid by you for the design services giving rise to the claim. This limitation of liability is in addition to any limitations stated in the Global Terms.

10. Termination

Layoutrix reserves the right to terminate or suspend Figma design services if you breach these Figma Terms or the Global Terms, fail to pay fees when due, or engage in conduct that harms Layoutrix’s interests or reputation. Upon termination, all rights granted to you regarding the unreleased design files shall immediately cease, unless otherwise agreed in writing.

11. Incorporation of Global Terms

These Figma Terms are supplemented by and incorporate the Global Terms of Service, including but not limited to disclaimers, limitations of liability, indemnification, and governing law. By using the Figma Designers service, you agree to adhere to all applicable provisions in both the Figma Terms and the Global Terms.

Figma to Next.js Terms

These Figma to Next.js Terms (“Next.js Terms”) govern the conversion of your Figma designs (“Designs”) into a fully functional Next.js project or website. They supplement the provisions in our Global Terms of Service. If a conflict arises between these Next.js Terms and the Global Terms, these Next.js Terms shall control, but solely for the Figma to Next.js service.

1. Scope of Work

Layoutrix agrees to convert the approved Figma Designs into a Next.js project, potentially including responsive layouts, component development, and basic SEO-friendly configuration. Additional features (e.g., complex animations, integrations with APIs, or third-party services) must be agreed upon in writing and may incur extra fees. Any deliverables not explicitly described in the project quote or statement of work are considered out of scope.

2. Client Responsibilities & Materials

You must provide Layoutrix with complete and accurate Figma files, branding assets, text, and any other materials necessary to build the Next.js project. You represent and warrant that you have all necessary rights and licenses to these materials. Layoutrix is not liable for any claims or damages resulting from your use of unlicensed or infringing assets.

3. Code Ownership & Licensing

Layoutrix Code & Tools. Any proprietary code snippets, libraries, or AI-assisted tools utilized by Layoutrix remain our property unless otherwise agreed.
Open-Source Libraries. Our Next.js projects may include open-source components governed by separate licenses. By using the deliverables, you agree to comply with all applicable open-source licenses.
Final Delivery. Upon receipt of full payment, you receive a non-exclusive, non-transferable license to use the delivered Next.js project for your own commercial or personal purposes. This license does not include any sub-licensing or resale rights unless expressly agreed in writing.

4. Timeline & Delivery

Layoutrix strives to meet the delivery dates estimated in our quote or project plan, typically 2–4 business days per page (depending on complexity). However, actual timelines may vary based on client responsiveness, scope changes, or unforeseen technical challenges. Layoutrix is not liable for direct or indirect damages resulting from delivery delays.

5. Acceptance & Testing

After Layoutrix completes the initial build, you will have a specified review period (e.g., 7 days) to test functionality, identify bugs, and request minor revisions. Substantial design or feature changes that deviate from the original Figma Designs or agreed scope may incur additional fees. If you do not provide feedback within the review period, the project will be deemed accepted.

6. Third-Party Integrations

If the project includes integrations with external APIs or services (e.g., Stripe, Mailchimp, content management systems), you are responsible for obtaining necessary access credentials or accounts. Layoutrix is not liable for any downtime or functionality issues attributable to these third-party services. Any additional coding or troubleshooting for third-party service integration that exceeds the agreed scope may result in extra fees.

7. Hosting & Deployment

Layoutrix may assist with deploying the Next.js project to a hosting environment (e.g., Vercel, AWS). However, uptime, server performance, and backend reliability are generally outside our control. We are not responsible for service interruptions or hosting-related costs. Any ongoing maintenance, server monitoring, or support after the initial deployment may require a separate maintenance agreement.

8. Maintenance & Updates

Unless otherwise specified, ongoing updates (e.g., software patches, security fixes, feature enhancements) are not included in this service. Layoutrix can provide ongoing maintenance under a separate contract or at an hourly rate. You acknowledge that failing to update dependencies regularly can pose security or performance risks.

9. Payment & Refunds

The cost of the Figma to Next.js service is typically based on a custom quote. Payment terms, including any required deposits, will be stated in your invoice or service agreement. All payments are final and non-refundable except as expressly stated in our Global Terms or at Layoutrix’s sole discretion. Failure to pay outstanding invoices may result in project suspension and/or withholding of deliverables.

10. Disclaimer & Limitations of Liability

Layoutrix does not guarantee that the Next.js project will meet all of your business requirements, yield specific commercial results, or be error-free in all environments. In no event shall Layoutrix’s aggregate liability exceed the total fees paid for the services provided. Layoutrix is not liable for any incidental, consequential, or indirect damages arising from the use or performance of the Next.js project.

11. Termination

Layoutrix reserves the right to terminate or suspend the Figma to Next.js service if you breach these Next.js Terms, fail to pay fees when due, or act in a manner that negatively impacts Layoutrix’s business or reputation. If the project is terminated before completion, you may receive partial deliverables as determined by Layoutrix, subject to payment of any accrued fees and expenses.

12. Incorporation of Global Terms

These Next.js Terms are supplemented by and incorporate the Global Terms of Service, including disclaimers, limitations of liability, indemnification, and governing law. By using the Figma to Next.js service, you agree to abide by both these Next.js Terms and the Global Terms in their entirety.

Web App Development Terms

1. Scope of Service

Layoutrix will provide professional web app development services on an hourly retainer basis. This includes end-to-end application development, consulting, secure and scalable architecture design, cloud-based deployment, automation solutions, and custom integrations. These services are provided solely as a development and advisory support tool and do not guarantee specific business results, performance metrics, or uptime.

2. Client Acknowledgment & Use

You acknowledge that the Web App Development services are provided "as is" and based on the project specifications and feedback provided by you. Layoutrix makes no warranties—express or implied—regarding the final performance, security, or functionality of the delivered application. All reliance on our services is at your own risk.

3. No Liability & Refunds

All fees paid for Web App Development services are final and non-refundable. Layoutrix expressly disclaims any liability for direct, indirect, incidental, consequential, or punitive damages arising from the use of, or reliance on, the delivered services—even if such damages were foreseeable.

4. Intellectual Property & License

All proprietary methodologies, tools, and frameworks used during development remain the property of Layoutrix or its licensors. Upon full payment, you receive a non-exclusive, non-transferable license to use the final deliverables solely for your internal business operations.

5. Client Responsibilities

You agree to provide complete, accurate, and timely project requirements and feedback. Layoutrix is not responsible for any delays, defects, or issues arising from incomplete or inaccurate client-provided information or instructions.

6. Indemnification

You agree to indemnify, defend, and hold harmless Layoutrix, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of or relating to your use of the delivered web app or any breach of these terms.

7. Termination

Layoutrix reserves the right to modify, suspend, or terminate the Web App Development services at any time without prior notice. Termination does not entitle you to any refund of fees already paid.

8. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania. Any disputes arising out of or related to these terms will be resolved exclusively in the state or federal courts located in Pittsburgh, Pennsylvania.

MVP Consulting Terms

1. Scope of Service

Layoutrix will provide a one-on-one consultation for your MVP web app, including a detailed time estimation document, expert insights on streamlining development, and strategic planning for a faster go-to-market. This service is provided solely as an advisory tool and does not guarantee any specific business outcomes, performance metrics, or development results.

2. Client Acknowledgment & Use

You acknowledge that the MVP Consulting service is provided on an "as is" basis. The consultation and time estimation do not ensure any particular level of success, market performance, or project efficiency. Any decisions or actions taken based on the information provided are solely at your own risk.

3. No Liability & Refunds

All fees paid for the MVP Consulting service are final and non-refundable. Layoutrix expressly disclaims any liability for direct, indirect, incidental, consequential, or punitive damages arising from your use of, or reliance on, the consultation, time estimation, or any related advice.

4. Intellectual Property & License

All methodologies, tools, and materials provided during the consultation remain the property of Layoutrix until full payment is received. Upon full payment, you are granted a non-exclusive, non-transferable license to use the provided materials solely for internal evaluation and planning purposes.

5. Client Responsibilities

It is your responsibility to provide complete and accurate information during the consultation. Layoutrix is not liable for any losses, damages, or adverse outcomes resulting from inaccuracies or omissions in the information you provide or from your implementation of the advice given.

6. Indemnification

You agree to indemnify, defend, and hold harmless Layoutrix, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the MVP Consulting service or your breach of these terms.

7. Termination

Layoutrix reserves the right to modify, suspend, or terminate the MVP Consulting service at any time without prior notice. Termination of the service does not affect any fees already paid.

8. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania. Any disputes arising out of or relating to these terms shall be resolved exclusively in the state or federal courts located in Pittsburgh, Pennsylvania.

Architecture Document Terms

1. Scope of Service

Layoutrix will deliver a custom Web App Architecture Design Document (the “Architecture Document”) that provides a comprehensive blueprint for your project. This document includes system design, hosting and infrastructure recommendations, security strategies, API and database planning, and scalability guidelines. It is intended solely as a planning and advisory tool.

2. Client Acknowledgment & Use

You acknowledge that the Architecture Document is provided as-is for informational purposes only. It is not a guarantee of performance, security, or scalability. Any decisions or actions taken based on the Architecture Document are solely at your own risk.

3. No Liability & Refunds

All fees paid for the Architecture Document service are final and non-refundable. Layoutrix provides this service without any warranties, express or implied, and expressly disclaims any liability for direct, indirect, incidental, consequential, or punitive damages arising from your use of or reliance on the Architecture Document.

4. Intellectual Property & License

The Architecture Document, including all methodologies and materials, remains the property of Layoutrix until full payment is received. Upon full payment, you are granted a non-exclusive, non-transferable license to use the document for internal planning and development purposes only.

5. Client Responsibilities

It is your responsibility to review the Architecture Document to ensure that it meets your project requirements. Layoutrix shall not be responsible for any losses, damages, or issues that arise from the implementation of recommendations provided in the document.

You agree to indemnify, defend, and hold harmless Layoutrix, its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Architecture Document.

Code Audit & Security Report Terms

1. Scope of Service

Layoutrix will perform a comprehensive audit of your code repository, which includes evaluating security measures, code quality, design patterns, and potential vulnerabilities. The resulting Code Audit Report is provided solely as an advisory tool and is not a guarantee of performance, security, or compliance.

2. Client Acknowledgment & Use

You acknowledge that the Code Audit Report is provided on an "as is" basis. Layoutrix makes no warranties—express or implied—regarding the accuracy, completeness, or suitability of the report for your specific requirements. You agree that any actions taken based on this report are solely at your own risk.

3. No Liability & Refunds

All fees paid for the Code Audit service are final and non-refundable. Layoutrix expressly disclaims any liability for direct, indirect, incidental, consequential, or punitive damages arising from your use of, or reliance on, the Code Audit Report.

4. Intellectual Property & License

All methodologies, analysis, and materials provided in the Code Audit Report remain the property of Layoutrix until full payment is received. Once full payment is confirmed, you are granted a non-exclusive, non-transferable license to use the report solely for internal evaluation and planning purposes.

5. Client Responsibilities

It is your responsibility to review the Code Audit Report and determine its applicability to your project. Layoutrix is not responsible for any modifications, implementations, or adverse outcomes that may result from your reliance on the report.

6. Indemnification

You agree to indemnify, defend, and hold harmless Layoutrix and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Code Audit Report.

7. Termination

Layoutrix reserves the right to modify, suspend, or terminate the Code Audit service at any time, with or without notice. Termination of the service does not affect any fees already paid, which are non-refundable.

8. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania. Any disputes arising out of or relating to these terms shall be resolved exclusively in the state or federal courts located in Pittsburgh, Pennsylvania.

Final Provisions

Layoutrix reserves the right to update or modify these terms at any time. Changes will be effective immediately upon posting. Continued use of the platform constitutes acceptance of the revised terms.
